Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 1, 2021, having served through the transition period announced in October 2020, Michelle Doig resigned from the Board of Directors of Nuvation Bio Inc., effective as of such date. Ms. Doig was not a member of any committee of the Board. Ms. Doig’s resignation is not the result of any disagreement with Nuvation Bio on any matter relating to its operations, policies or practices.
