Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On April 9, 2021, PDC Energy, Inc. (the “Company”) received notice from Ms. Christina M. Ibrahim, a member of the Company’s Board of Directors (the “Board”), of her decision not to stand for re-election at the Company’s 2021 Annual Meeting of Stockholders (the “2021 Annual Meeting”). As a result, Ms. Ibrahim plans to retire from the Board at the end of her current term, which will expire at the 2021 Annual Meeting.

 

The decision of Ms. Ibrahim not to stand for re-election was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
