This Amendment No. 1 is being filed jointly by the Reporting Person and amends the Schedule 13G initially filed by the Reporting Person with the Securities and Exchange Commission (the “SEC”) on February 13, 2020 (the “Schedule 13G”).

 

Except as set forth below, all Items of the Schedule 13G remain unchanged. All capitalized terms not otherwise defined herein shall have the meanings ascribed to such terms in the Schedule 13G.

The Reporting Person serves as the investment manager to (i) Nineteen77 Global Multi-Strategy Alpha Master Limited (“GLEA”), (ii) Nineteen77 Global Merger Arbitrage Master Limited (“OGMA”), (iii) MA Hedge Fund Strategies Limited (“SGMA”) and (iv) Nineteen77 Global Merger Arbitrage Opportunity Fund (“NGMA”). In such capacity, the Reporting Person exercises voting and investment power over the shares of Common Stock held for the account of GLEA, OGMA SGMA and NGMA. The Reporting Person is a registered investment adviser under Section 203 of the Investment Advisers Act of 1940, as amended. As a result, the Reporting Person may be deemed to have beneficial ownership (as determined under Section 13(d) of the Securities Exchange Act of 1934, as amended) of the shares of Common Stock held for the account of GLEA, OGMA SGMA and NGMA.

As of the close of business on December 31, 2020, the Reporting Person may have been deemed to have beneficial ownership of 1,250,000 shares of Common Stock, which consisted of (i) 375,000 shares of Common Stock held by GLEA, (ii) 375,000 shares of Common Stock held by OGMA, (iii) 191,106 shares of Common Stock issuable upon exercise of a warrant held by GLEA (the “GLEA Warrant”), (iv) 263,142 shares of Common Stock issuable upon exercise of a warrant held by OGMA (the “OGMA Warrant”), (v) 2,000 shares of Common Stock issuable upon exercise of a warrant held by SGMA (the “SGMA Warrant”) and (vi) 43,752 shares of Common Stock issuable upon exercise of a warrant held by NGMA (the “NGMA Warrant”), and all such shares of Common Stock in the aggregate represented beneficial ownership of approximately 1.6% of the Common Stock, based on (1) 76,773,862 shares of Common Stock outstanding as of November 25, 2020 as reported by the Issuer, plus (2) 191,106 shares of Common Stock issuable upon exercise of the GLEA Warrant, (3) 263,142 shares of Common Stock issuable upon exercise of the OGMA Warrant, (4) 2,000 shares of Common Stock issuable upon exercise of the SGMA Warrant and (5) 43,752 shares of Common Stock issuable upon exercise of the NGMA Warrant.
