Item 7.01.    Regulation FD Disclosure.

As most recently reported by Evolus, Inc. (the “Company”) in its Current Report on Form 8-K filed with the Securities and Exchange Commission on December 16, 2020, the U.S. International Trade Commission (the “ITC”) in its final determination issued (1) a limited exclusion order prohibiting the importation of Jeuveau® into the United States for a period of 21 months and (2) a cease and desist order preventing the Company from, among other things, selling, marketing, or promoting such imported Jeuveau® in the United States for a period of 21 months (collectively, the “Remedial Orders”). The Remedial Orders were subject to a 60-day presidential review period during which importation and sales of Jeuveau® were permitted subject to the payment of a bond.

On February 15, 2021, following a motion by the Company, the U.S. Court of Appeals for the Federal Circuit (the “Federal Circuit”) issued an emergency stay which suspends the execution of the Remedial Orders. The Remedial Orders are suspended pending a review by the Federal Circuit of a motion for a stay pending appeal of the ITC’s decision, briefing for which is currently due by March 5, 2021. During the period of the emergency stay, Evolus is permitted to continue importation and sales of Jeuveau® subject to the payment of the same bond applicable during the presidential review period.
