Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 11, 2021, Julie Bradley, a member of the Board of Directors (the “Board”) of Wayfair Inc. (the “Company”), notified the Company that she will not stand for re-election to the Board at the Company’s 2021 annual meeting of stockholders (the “2021 Annual Meeting”). Ms. Bradley will continue to serve on the Board and as Chair of the Audit Committee until the 2021 Annual Meeting that is scheduled to be held on May 11, 2021. Ms. Bradley’s decision was not related to a disagreement with the Company over any of its operations, policies or practices.
