| Item 5.03 | Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year |
On January 4, 2021 the Board of Directors of Atlas Technical Consultants, Inc. (the “Company”), voted unanimously to change the Company’s fiscal year end from December 31 to a 52/53 week fiscal year ending on the Friday closest to December 31, effective as of the commencement of the Company’s fiscal year on January 1, 2021. This change is being made in order to align the Company’s fiscal year with that of its operating subsidiaries and to align the Company’s reporting calendar with how the Company evaluates its business. Beginning with the first quarter of 2021, the Company will close its quarterly books on the Fridays closest to March 31, June 30, and September 30, respectively, and will close its fiscal year on the Friday closest to December 31. In reliance on Exchange Act Release No. 26589, the Company will not file a transition report.
