PART III - NARRATIVE

 

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

The Company is unable to file its Quarterly Report on Form 10-Q for its three months ended June 30, 2020, by the prescribed due date without unreasonable effort or expense because the Company was unable to compile and review certain information required in order to permit the Company to file a timely and accurately report the Company’s financial condition. The inability to perform the necessary work to file the Quarterly Report on Form 10-Q was due in part on the accounting demands placed on the Company’s personnel by a pending acquisition of Barrister Energy, LLC (“BELLC”), and in part and to a lesser extent by the limitations imposed by the COVID-19 pandemic on Company personnel meeting in person with auditors and BELLC personnel and requiring Company personnel to work remotely from home.

 

The Company believes that the Quarterly Report will be completed and filed within the five (5) day extension period provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
