Item 5.07 Submission of Matters to a Vote of Security Holders.

On May 15, 2020, Personalis, Inc. (the “Company”) virtually held its 2020 annual meeting of stockholders (the “Annual Meeting”). Present at the Annual Meeting virtually or by proxy were the holders of 28,904,765 shares of common stock of the Company, representing 91.8% of the 31,474,193 shares of common stock outstanding as of the close of business on March 20, 2020, the record date for the Annual Meeting, and constituting a quorum for the transaction of business.

At the Annual Meeting, the Company’s stockholders voted on two proposals, each of which is described in more detail in the Company’s definitive proxy statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on April 3, 2020. The following is a brief description of each matter voted upon and the certified results, including the number of votes cast for or against each matter and, if applicable, the number of abstentions and broker non-votes with respect to each matter.

Proposal 1. Stockholders elected each of the two nominees for Class I director to serve until the Company’s 2023 annual meeting of stockholders or until his respective successor has been duly elected and qualified. The votes regarding the election of directors were as follows:

Proposal 2. Stockholders ratified the selection by the Audit Committee of the Board of Directors of the Company of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2020. The voting results were as follows:
