Other Events

 

On April 23, 2020, Cars.com Inc., a Delaware corporation (the “Company” or “CARS”) issued a press release announcing that, due to the ongoing public health impact of the coronavirus pandemic, in accordance with state guidance and related orders, the Company will host its 2020 Annual Meeting of Stockholders (the “Annual Meeting”) virtually in lieu of an in-person meeting. The Annual Meeting will be held at 9:00 a.m. Central time on May 14, 2020, in accordance with the Notice of Annual Meeting and Proxy Statement, dated April 3, 2020, as supplemented by the Notice of Change of Location of Annual Meeting of Stockholders, filed with the U.S. Securities and Exchange Commission on April 23, 2020. A copy of the press release is attached as Exhibit 99.1 to this Current Report.
