Item 8.01. Other Events

On December 27, 2019, Anixter International Inc. (the “Company”), issued a press release acknowledging the receipt of a revised proposal from WESCO International, Inc. (“WESCO”) to acquire all of the outstanding stock of the Company for consideration nominally valued at $93.50 per share ($63.00 in cash, $13.85 in WESCO common stock and $16.65 in face amount of WESCO preferred stock). A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The information required to be reported on Form 8-K with respect to the Merger Agreement will be filed in a separate Current Report on Form 8-K.
