Item 8.01      Other Events

Separate Trading of Ordinary Shares, Warrants and Rights

On October 30, 2019, Fellazo Inc. (the “Company”) announced that the holders of the Company’s units (the “Units”) may elect to separately trade the securities underlying such Units commencing on October 31, 2019. Each Unit consists of one share of ordinary share, par value $0.0001 per share (“Ordinary Share”), one warrant to purchase one-half (1/2) of one Ordinary Share and one right to receive one-tenth (1/10) of one Ordinary Share at the closing of the Company’s initial business combination. Any Units not separated will continue to trade on the NASDAQ Capital Market under the symbol “FLLCU.” Any underlying Ordinary Shares, warrants and rights that are separated are expected to trade on the NASDAQ Capital Market under the symbols “FLLC” “FLLCW” and “FLLCR,” respectively. Holders of Units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the holders’ Units into Ordinary Shares, warrants and rights.

A copy of the Press Release issued by the Company announcing the separate trading of the securities underlying the Units is attached hereto as Exhibit 99.1.
