On September 27, 2019, Jackson Hsieh stepped down from the Board of Trustees of Spirit MTA REIT (the “Company”) and his position as Chairman of the Board of Trustees of the Company.

Item 8.01 Other Events.

On September 30, 2019, the Company issued a press release announcing, among other things, that Jackson Hsieh has stepped down from the Board of Trustees of the Company, effective September 27, 2019. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
