Item 3.02 Unregistered Sales of Equity Securities

 

On August 1, 2019, Texas Mineral Resources Corp. (the “Company”) issued Navajo Transitional Energy Company, a company formed under the laws of the Navajo Nation (“Navajo Transitional Energy”) 5,111,628 shares of its common stock for a cash consideration of $1,840,186. No sales commissions were paid in connection with this investment.

 

The sale and issuance of the common stock was pursuant to the exemption from registration under the U.S. Securities Act of 1933, as amended, in reliance on Section 4(a)(2) thereof and Rule 506 of Regulation D promulgated thereunder as a transaction by an issuer not involving a public offering, in which the investors are accredited and have acquired the securities for investment purposes only and not with a view to or for sale in connection with any distribution thereof.  Such securities may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.

 

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

In connection with the sale of the shares referenced in item 3.02 above, the Company granted Navajo Transitional Energy the right to nominate two directors to the Company’s board of directors. To date, Navajo Transitional Energy has not nominated any person to serve as a director of the Company.
