Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 24, 2019, Siyamak (Sam) Rasty, Ph.D. resigned as Chief Operating Officer of Homology Medicines, Inc. (“Homology”), to assume the role of President and Chief Executive Officer of an emerging biotechnology company. His last day at Homology will be July 12, 2019.

Item 7.01 Regulation FD Disclosure.

On June 27, 2019, Homology issued a press release announcing Mr. Rasty’s departure and related leadership updates.

The press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Item 7.01 by reference.
