EXPLANATORY NOTE

1847 Holdings LLC (the “Company”) is filing this Amendment No. 1 on Form 10-Q/A (the “Amendment”) to amend its Quarterly Report on Form 10-Q for the quarter ended March 31, 2019, which was originally filed with the Securities and Exchange Commission on May 15, 2019 (the “Form 10-Q”).

The Company is filing this Amendment solely to furnish Exhibit 101 to the Form 10-Q in accordance with Rule 405 of Regulation S-T.

Except for the foregoing, no other changes have been made to the Form 10-Q. The Form 10-Q, as amended by the Amendment, continues to be as of May 15, 2019, and does not reflect events that may have occurred after May 15, 2019.
