Item 8.01. Other Events.

 

On April 22, 2019, B. Riley Principal Merger Corp. (the “Company”) issued a press release, a copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K, announcing that, commencing on or about April 25, 2019, the holders of the Company’s units (the “Units”) may elect to separately trade the shares of Class A common stock, par value $0.0001 per share (the “Common Stock”), and warrants included in the Units (the “Warrants”). The Common Stock and Warrants that are separated will trade on the New York Stock Exchange (the “NYSE”) under the symbols “BRPM” and “BRPM WS”, respectively. Units that are not separated will continue to trade on the NYSE under the symbol “BRPM.U”. No fractional Warrants will be issued upon separation of the Units and only whole Warrants will trade. Holders of Units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the Units into Common Stock and Warrants.
