Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 23, 2018, the Board of Directors of Veoneer, Inc. (the “Company”) approved certain organizational changes with respect to the management and reporting structure of the Company's Electronics Segment that are planned to go into effect on December 1, 2018. In connection therewith, the position of Chief Operating Officer will be eliminated. As of December 1, 2018, Johan Löfvenholm, the current Chief Operating Officer of the Company, will no longer serve in this role and intends to leave the Company to pursue other opportunities. He will remain with the Company as senior advisor to the CEO of the Company until spring of 2019. He will be entitled to receive the severance benefits set forth in his employment agreement.
