The Special Meeting of Stockholders of Quality Care Properties, Inc. (“QCP” or the “Company”), scheduled for Wednesday, July 25, 2018, at 9:00 a.m., local time, to vote on the Company’s pending all-cash transaction with Welltower Inc. (“Welltower”) is now only days away. Your vote is extremely important, no matter how many shares you hold.  The QCP Board of Directors believes that the transaction provides stockholders with strong, certain and immediate value beyond any other available alternative.

 

 

INFLUENTIAL PROXY ADVISORY FIRMS RECOMMEND SHAREHOLDERS VOTE “FOR” THE TRANSACTION

 

Institutional Shareholder Services (“ISS”) and Glass, Lewis & Co. (“Glass Lewis”), two influential proxy advisory firms advising institutional investors, have each recommended that QCP stockholders vote FOR the proposed merger.

 

In its report, ISS noted that “…the all-cash nature of the transaction will provide downside protection and certainty of value to existing shareholders.”*

 

In addition, Glass Lewis stated that, “…the proposed transaction is reasonable and in the best interests of shareholders.”*
