The compilation, dissemination and review of the information required to be presented in the annual report on Form 10-K for the relevant period imposed time constraints that have rendered timely filing of the annual report on Form 10-K impracticable without undue hardship and expense to the registrant. The registrant undertakes the responsibility to file such annual report no later than fifteen days after the original due date.

As previously discussed on the registrant’s Current Report on Form 8-K filed on May 16, 2017, the registrant closed the transaction contemplated by a Share Exchange Agreement dated May 11, 2017 (the “Share Exchange Agreement”), pursuant to which the registrant acquired Project 1493, LLC, a corporation organized under the laws of the Commonwealth of Puerto Rico (“1493”). As a result of the Share Exchange Agreement, the registrant contemplates presenting financial statements of a consolidated company, including the results of operations of 1493. As the results of operations of the combined companies are expected to have significant changes to the presentation, a comparison of the changes would be impracticable without undue hardship and expense to the registrant.
