 * Beneficial ownership percentage is based upon 30,000,000 shares of Class A Common Stock, $0.0001 par value per share (the “Common Stock”) of Legacy Acquisition Corp., a Delaware corporation (the “Company”), issued and outstanding immediately after the consummation of the Company’s initial public offering, as reported by the Company in its Form 8-K, filed with the Securities and Exchange Commission on November 28, 2017. The Common Stock is currently held as units (the “Units”), with each Unit consisting of one share of Common Stock and one warrant to purchase one-half of one share of Common Stock at a price of $5.75 per half share (the “Warrants”). The Warrants are not currently exercisable within 60 days of this report and also contain a provision prohibiting exercise to the extent that the holder, together with its affiliates, would beneficially own in excess of 9.9% of the number of shares of Common Stock outstanding immediately after giving effect to such exercise. Park West Asset Management LLC (“PWAM”) is the investment manager to Park West Investors Master Fund, Limited, a Cayman Islands exempted company (“PWIMF”), and Park West Partners International, Limited, a Cayman Islands exempted company (“PWPI” and, collectively with PWIMF, the “PW Funds”), and Peter S. Park (“Mr. Park” and, collectively with PWAM and PWIMF, the “Reporting Persons”) is the sole member and manager of PWAM.  As of December 31, 2017, PWIMF held 2,649,093 Units and PWPI held 320,907 Units. As a result of the foregoing, for purposes of Reg. Section 240.13d-3, the Reporting Persons may be deemed to beneficially own the 2,970,000 shares of Common Stock held in the aggregate by the PW Funds for an aggregate beneficial ownership percentage of 9.9% of the shares of Common Stock deemed issued and outstanding as of December 31, 2017.

This report on Schedule 13G (this “Schedule 13G”), is being jointly filed by (i) Park West Asset Management LLC (“PWAM”), a Delaware limited liability company and the investment manager to (a) Park West Investors Master Fund, Limited (“PWIMF”), a Cayman Islands exempted company that is the holder of 2,649,093 units (the “Units”), of the Company, with each Unit consisting of one share of the Company’s Class A common stock, $0.0001 par value per share (the “Common Stock”) and one warrant to purchase one-half of one share of Common Stock at a price of $5.75 per half share (the “Warrants”), and (b) Park West Partners International, Limited (“PWPI” and, collectively with PWIMF, the “PW Funds”), a Cayman Islands exempted company that is the holder of 320,907 Units; (ii) PWIMF; and (iii) Peter S. Park, as the sole member and manager of PWAM (“Mr. Park” and, collectively with PWAM and PWIMF, the “Reporting Persons”).

 

The 2,970,000 Units held in the aggregate by the PW Funds may be deemed to be beneficially owned (x) indirectly by PWAM, as the investment adviser to PWIMF and PWPI, and (y) indirectly by Mr. Park, as the sole member and manager of PWAM.

The Warrants held as Units by PWIMF and by PWPI are not currently exercisable within 60 days of this report and also contain a provision prohibiting exercise to the extent that the holder, together with its affiliates, would beneficially own in excess of 9.9% of the number of shares of Common Stock outstanding immediately after giving effect to such exercise. As a result, for purposes of Reg. Section 240.13d-3, PWAM, PWIMF, PWPI and Mr. Park are currently deemed not to beneficially own any shares of Common Stock underlying the Warrants.
