Includes an aggregate of 171,833 shares held by MLCP GLL Funding LLC, an affiliate of the sponsor of the Company (the "Sponsor Affiliate") and Matthews Lane Capital Partners LLC, a sponsor of the Company (the "Sponsor") that are subject to forfeiture to the extent that the underwriters' overallotment in the Company's initial public offering is not fully exercised. Includes an aggregate of 359,869 shares that are expected to be forfeited upon consummation of the Company's initial public offering pursuant to the securities subscription agreement by and between each reporting person and the Company.

2. Represents 1,283,263 shares of common stock held by the Sponsor Affiliate. Represents 376,808 shares of common stock held by the Sponsor. The shares held by the Sponsor Affiliate and the Sponsor are beneficially owned by Daniel B. Silvers, who has sole voting and dispositive power over the shares held by the Sponsor Affiliate and the Sponsor. Mr. Silvers owns all of the membership interests in the Sponsor Affiliate and the Sponsor. Mr. Silvers disclaims beneficial ownership over any securities owned by the Sponsor and the Sponsor Affiliate in which he does not have any pecuniary interest.
