This Amendment No. 1 amends Item 4.01 of the Form 8-K Current Report filed by Cortex Pharmaceuticals, Inc. (the “Company”) on November 10, 2004 to reflect the fact that on November 15, 2004 the Company filed its quarterly report on Form 10-Q for September 30, 2004. Accordingly, the change in auditors from Ernst & Young LLP (“E&Y”) to Haskell & White LLP (“Haskell & White”) became effective on November 15, 2004.

 

Item 4.01. Changes in Registrant’s Certifying Accountant.

 

On November 4, 2004, the Company determined to dismiss E&Y as the Company’s independent registered public accounting firm to be effective following the filing of the Company’s quarterly report on Form 10-Q for September 30, 2004. The change in auditors became effective on November 15, 2004 following the filing of such quarterly report on Form 10-Q.

 

The Company appointed Haskell & White as the Company’s new independent registered public accounting firm. The decision to dismiss E&Y and to engage Haskell & White was approved by the Audit Committee of the Company’s Board of Directors to be effective following the filing of the Company’s quarterly report on Form 10-Q for September 30, 2004.

 

The reports of E&Y on the Company’s financial statements for the years ended June 30, 2003 and June 30, 2004 did not contain any adverse opinion, or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles, except that E&Y’s report on the Company’s financial statements for the fiscal year ended June 30, 2003 contained an explanatory note relating to the Company’s change in its revenue recognition policy.

 

In connection with its audits of the Company’s financial statements for the years ended June 30, 2003 and 2004, and through November 15, 2004, there were no disagreements with E&Y on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of E&Y, would have caused it to make reference thereto in its reports. There were no “reportable events” as that term is defined in Item 304(a)(1)(v) of Regulation S-K.

 

During the Company’s two most recent fiscal years and through November 15, 2004, neither the Company nor anyone acting on its behalf consulted with Haskell & White with respect to the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements, or any other matters or events set forth in Item 304(a)(2)(i) and (ii) of Regulation S-K.

 

The Company has requested E&Y to furnish it a letter addressed to the U.S. Securities & Exchange Commission stating whether it agrees with the statements made herein. A copy of that letter, dated November 30, 2004 is filed as Exhibit 16.2 to this Form 8-K/A.
