Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Penn Virginia Corporation, a Virginia corporation ("PVA"), indirectly owns 100% of the membership interests of Penn Virginia Resource GP, LLC, the general partner (the "General Partner") of Penn Virginia Resource Partners, L. P. (the "Partnership"), and, accordingly, PVA appoints all of the directors of the General Partner (the "GP Board").

The Board of Directors of PVA has elected James L. Gardner to the GP Board effective January 3, 2006. The committees of the GP Board to which Mr. Gardner will be appointed have not yet been determined.
