Item 5.02.                                        Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers;
Compensatory Arrangements of Certain Officers.

J. Scott Zimmerman, President and Chief Executive Officer of Storm Cat Energy Corporation (the “Company”), who has been on administrative leave from the Company for personal reasons since March 9, 2007, resigned on and effective April 9, 2007.  Keith Knapstad will continue to serve as acting President and Chief Executive Officer until a permanent President and Chief Executive Officer is appointed.

The Company is currently negotiating the details of Mr. Zimmerman’s separation and severance and will file an amendment to this Report no later than four business days after such information and form of the separation and/or severance agreement becomes available.

On April 9, 2007, the Company issued a news release announcing Mr. Zimmerman’s resignation, a copy of which is attached hereto as Exhibit 99.1 and incorporated into this report by reference.
