Item 8.01 Other Events

 

The previously announced consent solicitation of H&E Equipment Services L.L.C. (the “Company”) and H&E Finance Corp., under the indentures governing their 11-1/8% Senior Secured Notes due 2012 and their 12-1/2% Senior Subordinated Notes due 2013, expired on May 12, 2005 at 5:00pm New York City time (the “Expiration Date”).  As of the Expiration Date, the Company had not received the requisite consents that it was seeking.
