Other Events.

On November 8, 2010, Peerless Systems Corporation issued a press release announcing the results of its tender offer to purchase up to $45 million in shares of its outstanding common stock at a price of $3.25 per share, which expired at 5:00 P.M., New York City time, on November 4, 2010. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
