(the "Registrant") hereby requests that the Securities and Exchange Commission (the "Commission") consent to the withdrawal, effective as of the date hereof or at the earliest practicable date hereafter, of the Registration Statement on Form SB-2 of Americom Networks International, Inc., the Registrant’s predecessor company, originally filed with the Commission on December 21, 1999, as subsequently amended, together with all exhibits thereto (the "Registration Statement"). The filing has not been declared effective. No securities have been sold or issued pursuant to the Registration Statement, and the Registrant does not intend to sell or issue any securities in connection therewith.

The Registrant also requests that, in accordance with Rule 457(p) promulgated under the Securities Act, all fees paid to the Securities and Exchange Commission in connection with the filing of the Registration Statement be credited to the Registrant’s account for future use.
