Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On March 30, 2009, Xerium Technologies, Inc. (the “Company”) received notice from Michael O’Donnell of his resignation as Executive Vice President and Chief Financial Officer of the Company, which is expected to be effective in May 2009. The Company has retained an international executive search firm and is currently in the process of interviewing candidates to replace Mr. O’Donnell as Chief Financial Officer.

Mr. O’Donnell also resigned as a director of the Company, effective with his departure in May 2009. Mr. O’Donnell’s resignation from the Board of Directors is not the result of any disagreement with the Company on any matter related to its operations, policies, or practices.
