ITEM 5.02     DEPARTURE OF DIRECTORS OR PRINCPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

On September 9, 2008, John Sutherland voluntarily tendered his resignation as President, Chief Financial Officer, and Secretary of the Company. By resolution of the Board of Directors,  dated September 9, 2008, pursuant to the bylaws of the Company,  Stephen H. Clevett has been appointed President, Chief Financial Officer and Secretary, and a Director of the Company, effective on September 9, 2008.  Mr. Clevett is a resident of the state of New Jersey.
