DEPARTURE OF DIRECTORS OR PRINCPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

On September 24, 2008, Stephen H. Clevett voluntarily tendered his resignation as President, Chief Financial Officer ,  Director and Secretary of the Company. By resolution of the Board of Directors,  dated September 24, 2008, pursuant to the bylaws of the Company,  Robert Shea has been appointed President, Chief Financial Officer, Treasurer and Secretary, and a Director of the Company, effective on September 24, 2008.  Mr. Shea is a resident of the state of Massachusetts.
