SEPA Takedowns

 

On September 27, 2023, micromobility.com Inc. (the “Company”) issued 28.5 million shares to YA II PN Ltd. (“Yorkville”) in a series of takedowns under the Standby Equity Purchase Agreement dated as of March 7, 2023 between us and Yorkville (the “SEPA”).

 

Termnination of LOI

 

On June 7, 2023, the Company announced that it had signed a Letter of Intent (the “LOI”) to merge with EVMO, Inc. (“EVMO”). On September 26, 2023, the Company terminated the LOI with EVMO as it had determined that its capital is best used to support its effort to reach profitability.
