Power & Digital Infrastructure Acquisition II Corp. (the “Company”) is unable to file with the Securities and Exchange Commission (the “SEC”) its Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2023 (the “Form 10-Q”) within the prescribed time period for such filing without unreasonable effort or expense for the following reason set forth below.

The Company is a blank check company, formed for the purpose of effecting a merger, share exchange, asset acquisition, stock purchase, recapitalization, reorganization or similar business combination with one or more target businesses (a “business combination”). As disclosed in the Current Report on Form 8-K filed by the Company with the SEC on June 5, 2023 (the “Form 8-K”), the Company entered into an Agreement and Plan of Merger which, if consummated, will be the Company’s business combination. In connection with the business combination, on August 9, 2023, the Company filed a registration statement on Form S-4 (the “Registration Statement”). The Company’s management team was required to spend significant time, energy and effort to, among other things, prepare and file the Registration Statement.

The Company anticipates that it will require no more than the additional five (5) days allowed to complete and file the Form 10-Q.

Forward-Looking Statements

This Form 12b-25 includes “forward-looking statements’’ within the meaning of the “safe harbor” provisions of the United States Private Securities Litigation Reform Act of 1995. Forward-looking statements may be identified by the use of words such as “estimate,” “plan,” “project,” “forecast,” “intend,” “will,” “expect,” “anticipate,” “believe,” “seek,” “target” or other similar expressions that predict or indicate future events or trends or that are not statements of historical matters. These forward-looking statements include, but are not limited to, those related to impacts on Company’s cash position and trust account and the Company’s expected timing for filing its Annual Report on Form 10-K for the year ended December 31, 2022. These statements are provided for illustrative purposes only and are based on various assumptions, whether or not identified in this Form 12b-25, and on the current expectations of the Company’s management. These forward-looking statements are not intended to serve, and must not be relied on by any investor, as a guarantee, an assurance, a prediction or a definitive statement of fact or probability. Actual events and circumstances are difficult or impossible to predict and will differ from assumptions. Many actual events and circumstances are beyond the control of the Company. These forward-looking statements are subject to a number of risks and uncertainties, including those identified in the Company’s reports filed with the U.S. Securities and Exchange Commission, and if any of these risks materialize or our assumptions prove incorrect, actual results could differ materially from the results implied by these forward-looking statements.
