Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

As previously disclosed, on May 23, 2023, PARTS iD, Inc., a Delaware corporation (the “Company”) received a letter from the NYSE American (the “Exchange”) stating that the Company was not in compliance with Sections 1003(a)(i) and 1003(a)(ii), respectively, of the Exchange Company Guide. Sections 1003(a)(i) and 1003(a)(ii) of the Company Guide require an issuer to have (a) shareholders’ equity of $2.0 million or more if it has reported losses from continuing operations and/or net losses in two of its three most recent fiscal years, and (b) shareholders’ equity of $4.0 million or more if it has reported losses from continuing operations and/or net losses in three of its four most recent fiscal years, respectively. As previously disclosed, the Company submitted a plan of compliance (the “Plan”) to the Exchange on June 22, 2023 addressing how the Company intends to regain compliance with these requirements by November 23, 2024.

 

On August 8, 2023, the Company received a letter from the Exchange notifying the Company that the Plan was accepted.

 

The Exchange has granted the Company a plan period through November 23, 2024 to regain compliance with the continued listing standards. If the Company is not in compliance with the continued listing standards by that date or if the Company does not make progress consistent with the Plan during the plan period, the Exchange may commence delisting procedures.

 

The Company’s Class A common stock, par value $0.0001 per share (the “Common Stock”) will continue to be listed on the Exchange while it attempts to regain compliance with the continued listing standards noted, subject to the Company’s compliance with other continued listing requirements. The Common Stock will continue to trade under the symbol “ID” but will have an added designation of “.BC” to indicate that the Company is not in compliance with the Exchange’s continued listing standards.

On August 14, 2023, in accordance with the Exchange’s procedures, the Company issued a press release discussing the matters disclosed in Item 3.01 above. A copy of the press release is included herewith as Exhibit 99.1, which is incorporated by reference into this Item 8.01.
