Item 5.02 Departure of Directors or Certain officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 10, 2023, Alec Gallimore informed PagerDuty, Inc. (the “Company”) of his resignation from the Board of Directors (the “Board”) and its Audit Committee, effective as of August 15, 2023. Mr. Gallimores resignation was not a result of any disagreement with the Company on any matter relating to the Companys operations, policies or practices. The Board expressed its appreciation for Mr. Gallimores service to the Company and his invaluable contributions to the Board.
