Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On July 12, 2023, the Boards of Directors (the “Boards”) of Alliant Energy Corporation (“Alliant Energy”), Interstate Power and Light Company and Wisconsin Power and Light Company appointed Ignacio A. Cortina as a member of the Boards effective July 14, 2023. Mr. Cortina is expected to stand for election at the Alliant Energy 2024 Annual Meeting of Shareowners as a nominee for director to serve until the company’s 2026 Annual Meeting of Shareowners. Mr. Cortina, 51, has been Executive Vice President, Chief Legal Officer and Secretary of Oshkosh Corporation, a leading innovator of mission-critical vehicles and essential equipment, since February 2023. Mr. Cortina previously served as Executive Vice President, General Counsel and Secretary from 2016 to 2023. He has held various roles of increasing responsibility since joining Oshkosh Corporation in 2003.

Effective as of July 14, 2023, Mr. Cortina will serve as a member of the Compensation and Personnel Committee and the Operations Committee of each Board. He will receive compensation as a non-employee director in accordance with the non-employee director compensation practices described in Alliant Energy’s Definitive Proxy Statement filed with the Securities and Exchange Commission on April 4, 2023.

(b) On July 11, 2023, Susan Whiting, Director, informed the Chair of the Boards that she plans to retire from the Boards effective July 14, 2023.
