Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. 

 As previously disclosed, on January 9, 2023, Better World Acquisition Corp. (the “Company”) received a written notice (the “Notice”) from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company is not in compliance with Nasdaq Listing Rule 5620(a) (the “Rule”) for continued listing, due to the Company’s failure to hold an annual meeting of stockholders within twelve months of the end of the Company’s fiscal year ended December 31, 2021. In accordance with Nasdaq Listing Rule 5810 (c)(2)(G), the Company submitted a plan to regain compliance and was granted until June 29, 2023 to regain compliance.

On June 30, 2023, the Company received a determination letter from the Staff of the Nasdaq stating that, as of June 29, 2023, the Company had failed to hold the above-referenced annual meeting and therefore was not in compliance with the Rule. As a result, the Staff has advised the Company that its securities would be subject to delisting unless the Company timely requests an appeal of this determination to a hearings panel. The Company does not intend to appeal the Staff’s determination to a hearings panel.
