The compilation, dissemination and review of the information required to be presented in the annual report on Form 10-K for the fiscal year ended March 31, 2023 (the “Annual Report”) imposed time constraints that have rendered timely filing of the Annual Report impracticable without undue hardship and expense to the registrant. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the registrant endeavors to file its Annual Report no later than fifteen calendar days following June 29, 2023, the prescribed due date.

The Registrant expects there will be significant changes to its revenue, gross profit, loss from operations, net income (loss) and comprehensive income (loss) for the fiscal year ended March 31, 2023, as compared to the information provided in its Annual Report on Form 10-K for the fiscal year ended March 31, 2022.

 

As the registrant has completed a corporate structure change, deconsolidating its two VIEs at the end of March 2022, their comparative financial figures reclassified to items named "XXXX-discontinued operations" was fully included in the fiscal year ended March 31, 2022, and there will be no such figures under the Annual Report. Therefore, it is expected to incurr net loss of approximately $3.8 million for the year ended March 31, 2023 from a net income of approximately $2.6 million for the year ended March 31, 2022, and a comprehensive loss of approximately $4.9 million for the fiscal year ended March 31, 2023 from a comprehensive income of 2.7 million for the fiscal year ended March 31, 2022. Management’s current reasonable estimates of other operating results of operation are as follows, which are subject to change upon the completion of the financial statements: (i) total revenues increased to approximately $8.1 million for the year ended March 31, 2023 from approximately $4.9 million for the year ended March 31, 2022; (ii) gross profit increased to approximately $1.5 million for the year ended March 31, 2023 from a gross loss of approximately $2.1 million for the year ended March 31, 2022; and (iii) loss from operations decreased to approximately $6.1 million for the year ended March 31, 2023 from approximately $11.6 million for the year ended March 31, 2022. Additional narrative and quantitative disclosure regarding the registrant’s results of operations for the year ended March 31, 2023 will be disclosed in the registrant’s Annual Report.
