Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Chief Product and Technology Officer Base Salary Increase

On May 8, 2023, the board of directors of Kaleyra, Inc., a Delaware corporation (f/k/a GigCapital, Inc., hereinafter the “Company”), upon recommendation by the Company’s compensation committee, approved a market adjustment increase to the base salary payable to Nicola Junior Vitto, the Company’s Chief Product and Technology Officer, by approximately 1.6% of base salary, effective as of April 1, 2023. Prior to this increase, Mr. Vitto’s base salary was €305,000 (equal to US $330,613, based on an exchange rate of USD 1:0.92253 EUR as of April 1, 2023), and effective as of April 1, 2023, Mr. Vitto’s base salary is €310,000 (equal to US $336,032, based on an exchange rate of USD 1:0.92253 EUR as of April 1, 2023). No other changes were made to the terms of Mr. Vitto’s compensation or employment agreement.
