(“CBL,” the “Company,” ”we,” “our” or “us”), with the information contained in Item 5.02 of our Current Report on Form 8-K dated May 9, 2023, filed with the Securities and Exchange Commission (“SEC”) on May 11, 2023 (the “May 11, 2023 Form 8-K”). Our common stock is listed on the New York Stock Exchange (the “NYSE”) under the trading symbol “CBL.” On May 10, 2023, the last sale price of our common stock, as reported on the NYSE was $22.75 per share.

We are not selling any securities under the Prospectus and will not receive any of the proceeds from the sale of shares of our common stock by the Selling Stockholders. We have agreed to bear all fees and expenses (excluding any underwriting discounts or commissions or transfer taxes, if any, of any Selling Stockholder) incident to the registration of the securities covered by the Prospectus.

(b) Pursuant to the approval of the Company’s Board of Directors and effective May 9, 2023, CBL & Associates Properties, Inc. (the “Company”) promoted Katie A. Reinsmidt to the position of Executive Vice President – Chief Operating Officer. She also will continue to serve in her current capacity as Chairperson of the Company’s Benefits Committee and Executive Sponsor for the Company’s diversity, equity, inclusion and belonging (“DEIB”) council, CBL Community.

Additional information concerning Katie A. Reinsmidt is incorporated herein by reference from the section entitled “Election of Directors – Additional Executive Officers” in the Company’s Proxy Statement for its 2023 Annual Meeting of Stockholders, filed with the SEC on April 24, 2023.
